2. Purpose and Scope

These General Terms and Conditions of Sale are intended to define the conditions applicable to the sale of products offered by Groove Phrase.

They apply to distance sales concluded between Groove Phrase and its customers, particularly following contact made through the groovephrase.com website.

The essential characteristics of each product are presented on the page dedicated to it on groovephrase.com.

Any order implies that the customer has read and accepted these General Terms and Conditions of Sale before the sale is concluded.

The General Terms and Conditions of Sale applicable are those in force on the date of the order.

3. Products and Characteristics

The products offered for sale by Groove Phrase are electronic devices intended for use with electronic musical instruments and compatible equipment.

The essential characteristics of each product, including its functions, main technical specifications, connections and conditions of use, are presented on the relevant product page on groovephrase.com.

The customer is required to read this information before placing an order and to ensure that the product is suitable for its intended use and compatible with the customer’s equipment.

The photographs and illustrations displayed on the website are intended to represent the products as accurately as possible. They do not replace the product description and technical specifications.

4. Prices

Product prices are stated in euros.

Groove Phrase benefits from the French VAT exemption scheme for small businesses. VAT not applicable pursuant to Article 293 B of the French General Tax Code.

The sale price of THRALL is €160.

Delivery charges are invoiced in addition to the product price.

For deliveries to countries within the European Union, delivery charges are €12 per order.

For deliveries to countries outside the European Union, delivery charges are determined according to the destination and communicated to the customer before final confirmation of the order.

For deliveries outside the European Union, customs duties, import taxes or other charges imposed by the authorities of the destination country may be added to the price of the order. These charges are not collected by Groove Phrase and, where applicable, remain the responsibility of the customer.

5. Orders

Orders are placed remotely after contacting Groove Phrase, particularly through the form available on groovephrase.com.

Before the sale is concluded, the customer receives information concerning the product ordered, its price, the applicable delivery charges and these General Terms and Conditions of Sale.

The order becomes final once the customer has accepted these elements and Groove Phrase has received payment.

An order confirmation is sent to the customer by email. It summarises the main characteristics of the order, its price, any delivery charges and the necessary information relating to the sale.

Groove Phrase reserves the right to refuse an order if the product is unavailable or if delivery to the requested destination is not possible. In such cases, no payment will be requested or, if payment has already been made, the amounts paid will be refunded.

6. Payment

Orders may be paid by bank transfer or PayPal.

Payment in full is due at the time of the order. Groove Phrase does not offer credit, instalment payments or deferred payment.

The amount payable includes the price of the product or products ordered, delivery charges and, where applicable, any other charges previously brought to the customer’s attention and accepted by the customer.

The order will only be dispatched after full payment of the amount due has been received.

For payment by bank transfer, the order is considered paid when the funds have actually been credited to Groove Phrase’s bank account.

For payment via PayPal, the order is considered paid when the payment has been confirmed as completed.

Groove Phrase does not charge the customer any additional fee based on the payment method selected.

7. Product Availability and Dispatch

Products are offered for sale subject to availability.

When a product is indicated as being in stock, Groove Phrase will dispatch it within a maximum of 5 business days following receipt of full payment for the order.

The dispatch period corresponds to the time required to prepare the parcel and hand it over to the carrier. It does not constitute the delivery time to the recipient.

Delivery times depend in particular on the destination and the carrier used. Available information concerning the delivery method and delivery time is communicated to the customer before the sale is concluded.

If a product becomes unavailable after an order has been placed, Groove Phrase will inform the customer as soon as possible. If the order cannot be fulfilled, the amounts paid for the unavailable product will be refunded.

8. Delivery, Transport and Transfer of Risk

Products are delivered to the address provided by the customer when placing the order.

The delivery method, its cost and, where available, information concerning the delivery time are communicated to the customer before the sale is concluded.

The customer is responsible for the accuracy and completeness of the information provided for delivery. The customer must report any error before the order is dispatched.

Where the carrier is offered by Groove Phrase, the risk of loss of or damage to the product passes to the customer when the customer, or a third party designated by the customer, takes physical possession of the product.

In the event of loss of or damage to the parcel during transport before it is handed over to the customer, the customer is invited to contact Groove Phrase as soon as possible so that the incident can be handled.

If the customer chooses to entrust delivery to a carrier other than one offered by Groove Phrase, the risk of loss or damage passes to the customer when the product is handed over to that carrier.

9. Right of Withdrawal

In accordance with the provisions of the French Consumer Code, consumer customers have a period of 14 days from receipt of the product in which to exercise their right of withdrawal, without having to provide any reason for their decision.

To exercise this right, the customer must inform Groove Phrase of their decision to withdraw before the expiry of this period, using the withdrawal form provided with these General Terms and Conditions of Sale or any other unambiguous statement expressing their wish to withdraw.

The request may in particular be sent by email to contact@groovephrase.com.

From the date on which the customer communicates their decision to withdraw, the customer has a maximum period of 14 days to return the product to Groove Phrase.

The direct cost of returning the product is borne by the customer.

The product must be returned under conditions providing appropriate protection during transport.

The customer may unpack, handle and test the product to the extent necessary to establish its nature, characteristics and proper functioning.

Upon receipt of the returned product, Groove Phrase will inspect its condition. In accordance with Article L.221-23 of the French Consumer Code, the customer may be held liable for any diminished value of the product resulting from handling other than that necessary to establish its nature, characteristics and proper functioning.

In the event of damage, modification or other loss of value attributable to such handling, Groove Phrase may take the resulting loss in value into account when issuing the refund, under the conditions provided by law.

Where the right of withdrawal is validly exercised, Groove Phrase will refund the customer the amounts paid for the order, including the initial delivery charges corresponding to the standard delivery method offered.

The refund will be made without undue delay and no later than 14 days from the date on which Groove Phrase is informed of the decision to withdraw. Groove Phrase may, however, defer the refund until the product has been recovered or until the customer provides proof that it has been dispatched, whichever occurs first.

The refund will be made using the same payment method used for the original order, unless the customer expressly agrees to another payment method that does not incur any fees for the customer.

10. Statutory Warranties and After-Sales Service

Products sold by Groove Phrase are covered by the statutory guarantee of conformity provided for in Articles L.217-3 et seq. of the French Consumer Code and by the statutory warranty against hidden defects provided for in Articles 1641 et seq. of the French Civil Code.

Statutory guarantee of conformity

Groove Phrase is liable for any lack of conformity appearing within two years from delivery of the product.

In the event of a lack of conformity, the consumer may request that the product be brought into conformity by repair or replacement, under the conditions provided by law.

The product will be brought into conformity at no cost to the consumer and within a reasonable period not exceeding 30 days following the consumer’s request, without causing major inconvenience to the consumer.

Where the product is repaired under the statutory guarantee of conformity, the original statutory guarantee is extended by six months.

In the circumstances provided for by law, particularly where repair or replacement is impossible, is not completed within the required period, or where the defect persists after an attempt to bring the product into conformity, the consumer may obtain a reduction in price or termination of the sale.

Warranty against hidden defects

The consumer also benefits from the statutory warranty against hidden defects under the conditions provided for in Articles 1641 to 1649 of the French Civil Code.

After-sales service

For any request relating to a defect, malfunction or implementation of a statutory warranty, the customer may contact Groove Phrase at:

contact@groovephrase.com

The customer is invited to describe the problem encountered and provide information allowing the relevant order and product to be identified.

10 bis. Information Concerning Statutory Warranties

Notice concerning the statutory guarantee of conformity and the statutory warranty against hidden defects

The consumer has a period of two years from delivery of the goods to obtain implementation of the statutory guarantee of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

Where the contract for the sale of goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the statutory guarantee applies to such digital content or digital service throughout the scheduled supply period. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared.

The statutory guarantee of conformity requires the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

The statutory guarantee of conformity entitles the consumer to the repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience.

If the goods are repaired under the statutory guarantee of conformity, the consumer benefits from a six-month extension of the original guarantee.

If the consumer requests repair of the goods but the seller requires replacement, the statutory guarantee of conformity is renewed for a period of two years from the date on which the goods are replaced.

The consumer may obtain a reduction in the purchase price while retaining the goods or terminate the contract and obtain a full refund in exchange for returning the goods if:

1° The professional refuses to repair or replace the goods;

2° The goods are repaired or replaced after a period of thirty days;

3° Repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer ultimately bears the cost of taking back or removing the non-conforming goods, or bears the cost of installing the repaired or replacement goods;

4° The lack of conformity persists despite an unsuccessful attempt by the seller to bring the goods into conformity.

The consumer is also entitled to a reduction in the price of the goods or termination of the contract where the lack of conformity is so serious as to justify an immediate price reduction or termination of the contract. In such cases, the consumer is not required to request repair or replacement of the goods beforehand.

Any period during which the goods are unavailable for the purpose of repair or replacement suspends the remaining guarantee period until the repaired goods are delivered.

The rights referred to above result from the application of Articles L.217-1 to L.217-32 of the French Consumer Code.

A seller who, in bad faith, obstructs the implementation of the statutory guarantee of conformity may incur a civil fine of up to €300,000, which may be increased to up to 10% of average annual turnover (Article L.241-5 of the French Consumer Code).

The consumer also benefits from the statutory warranty against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code for a period of two years from discovery of the defect. This warranty entitles the consumer to a reduction in price if the goods are retained or to a full refund in exchange for returning the goods.

11. Use of Products and Liability

Groove Phrase products must be used in accordance with their intended purpose, technical specifications and the instructions provided in their documentation or user manual.

It is the customer’s responsibility to verify the compatibility of the product with the instruments, equipment, power supplies and connections with which they intend to use it.

Groove Phrase shall not be held liable for damage resulting from use that is clearly contrary to the instructions provided, connection or power supply that does not comply with the product specifications, modification of the product by the customer or a third party, or unauthorised intervention on the product, where such circumstances are the cause of the damage observed.

Any modification, opening or intervention carried out on the product by the customer or a third party does not automatically deprive the customer of their rights under statutory warranties. However, defects or damage directly caused by such intervention cannot be attributed to Groove Phrase.

The provisions of this Article neither limit nor exclude the rights enjoyed by consumers under statutory warranties and mandatory provisions of applicable law.

12. Intellectual Property

Elements protected by intellectual property rights belonging to Groove Phrase, including texts, photographs, illustrations, graphics, logos, documentation, manuals and software or firmware developed for the products, remain the property of their respective rights holders.

The purchase of a Groove Phrase product only transfers ownership of the physical item sold. It does not transfer any intellectual property rights attached to protected elements associated with the product.

Unless prior authorisation has been granted or otherwise permitted by law, any reproduction, representation, adaptation, distribution or exploitation of protected elements belonging to Groove Phrase must comply with applicable intellectual property rights.

Trademarks, trade names, logos and other distinctive signs belonging to third parties that may be mentioned or represented remain the property of their respective owners.

13. Personal Data

As part of initial contact, order management, invoicing, delivery and after-sales service, Groove Phrase may collect and process certain personal data relating to its customers.

The data collected is limited to information necessary for managing the commercial relationship and complying with Groove Phrase’s legal obligations.

It may be transmitted to service providers whose involvement is necessary for fulfilment of the order, particularly payment and delivery service providers, within the limits of the information necessary for them to perform their services.

Personal data is retained for a period appropriate to its purpose and, where required by regulations, for the period necessary to comply with legal obligations, particularly accounting obligations.

In accordance with applicable personal data protection regulations, customers have, in particular and subject to the conditions provided by those regulations, rights of access, rectification, erasure, restriction and objection concerning their personal data.

These rights may be exercised by contacting Groove Phrase at:

contact@groovephrase.com

Further information concerning the collection and processing of personal data is available in the Privacy Policy on groovephrase.com.

14. Complaints and Consumer Mediation

In the event of any difficulty or dispute relating to an order, the customer is invited to contact Groove Phrase first in order to seek an amicable solution.

Any complaint may be sent by email to:

contact@groovephrase.com

In accordance with the provisions of the French Consumer Code, consumers have the right to use a consumer mediator free of charge with a view to the amicable resolution of a dispute with Groove Phrase.

Referral to the mediator is possible after the consumer has first attempted to resolve the dispute directly with Groove Phrase by means of a written complaint.

The consumer mediator designated by Groove Phrase is:

15. Applicable Law and Dispute Resolution

These General Terms and Conditions of Sale are governed by French law.

In the event of a dispute concerning the formation, interpretation or performance of a sale, Groove Phrase and the customer are invited to seek an amicable solution as a priority.

Consumers may also use the consumer mediation procedure referred to in Article 14 of these General Terms and Conditions of Sale.

If the dispute cannot be resolved amicably, it may be brought before the competent courts under the conditions provided by applicable law.

Where the customer is a consumer residing in another country, the application of French law shall not deprive the customer of the mandatory consumer protection provisions from which they benefit under the law applicable to their situation.

16. Amendments and Version of the General Terms and Conditions of Sale

Groove Phrase reserves the right to amend these General Terms and Conditions of Sale, in particular in order to adapt them to changes in its business activities or applicable regulations.

The General Terms and Conditions of Sale applicable to an order are those communicated to and accepted by the customer at the time the sale is concluded.

Each version of these General Terms and Conditions of Sale is identified by a version number and an update date.
